Recapitalization Process

Prior to the successful completion of a debt restructuring process under the terms of the Companies’ Creditors Arrangement Act (CCAA) in September 2012, Catalyst reached a recapitalization agreement with certain noteholders that was subject to a number of conditions being met by January 31, 2012. An initial court order relating to it was obtained under the Canada Business Corporations Act and recognized through a provisional order of the US Court. The conditions were not satisfied within the required timeframe, as a result of which Catalyst entered into creditor protection under the CCAA.
